Makertank Terms of Service
Effective: July 14, 2026
These Terms of Service ("Terms") are a binding agreement between MKRTNK LLC, a Washington limited liability company doing business as "Makertank" ("Makertank," "we," "us," or "our"), and the person or entity using our services ("you" or "your"). These Terms govern your access to and use of makertank.com and www.makertank.com, beta.makertank.com, join.makertank.com, app.makertank.com (also reachable at portos.makertank.com), vip.makertank.com, admin.makertank.com, investors.makertank.com, shop.makertank.com, and all related applications, dashboards, and application programming interfaces we operate (collectively, the "Service"). Canonical, currently effective versions of this document and the other policies referenced below are published at app.makertank.com/legal/terms and related paths; if a copy hosted elsewhere conflicts with the canonical version, the canonical version controls.

1. Acceptance of These Terms
By creating an account, submitting information through any onboarding, application, or checkout flow, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, our End User License Agreement, and, where applicable, our Refund Policy (together, the "Legal Documents"), each of which is incorporated into these Terms by reference and available at app.makertank.com/legal/. If you do not agree to these Terms, you must not access or use the Service. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" in these Terms refers to that entity as well as to you personally.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract to use the Service. The Service is intended for business and commercial use and is not directed to children. We do not knowingly permit anyone under the age of 13 to create an account or submit personal information, consistent with the Children's Online Privacy Protection Act ("COPPA"); if we learn that a person under 13 has provided us personal information, we will delete it. You represent that all information you provide to us during registration, onboarding, the VIP wizard, the /apply proposal-qualifier flow, or any other intake process is accurate, current, and not submitted on behalf of a fictitious business or with intent to misrepresent your identity, business, or financial condition.
3. Accounts and Access
Accounts on the Service are provisioned through Supabase Auth using either an email-and-password combination or Google OAuth sign-in. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account, whether or not you authorized it, except to the extent caused by our failure to secure the Service as required by these Terms. You must notify us promptly at support@makertank.com if you suspect unauthorized use of your account. Certain areas of the Service (including admin.makertank.com and internal analytics tooling) are restricted to personnel we designate with administrative roles and permissions; attempting to access role-gated functionality without authorization is a material breach of these Terms and may violate the Acceptable Use Policy and applicable law.
Different properties within the Service may present different workflows depending on your role: general users of app.makertank.com / PortOS access portfolio and entity-command tooling; participants in the VIP onboarding wizard at vip.makertank.com move through a structured intake sequence describing their business; visitors to join.makertank.com may enroll in a waitlist, take a quiz, or subscribe to a paid plan; visitors to investors.makertank.com view informational content described in Section 10; and shoppers at shop.makertank.com purchase physical goods. All such use is governed by these Terms regardless of which subdomain or application you are using.
4. The Service
Makertank provides software tools intended to help founders, operators, and small-business teams organize their business data, track key performance indicators, plan and execute action items, connect financial and accounting data sources, manage investor-facing and onboarding workflows, and receive AI-assisted analysis, recommendations, and content. The Service is provided "as available" and may include beta or pre-release features (including at beta.makertank.com) that are experimental, may change without notice, and may be discontinued at any time. We may add, modify, or remove features, and we may change subdomains, URLs, or the technical architecture underlying the Service, at our discretion, provided that we will not materially reduce the core functionality of a paid subscription during its then-current billing term without providing notice or a remedy consistent with our Refund Policy.
5. Subscriptions, Billing, and Paddle as Merchant of Record
Certain features of the Service require a paid subscription or a one-time payment (for example, a module unlock or a physical-goods order through shop.makertank.com). All purchases are processed by Paddle.com Market Ltd ("Paddle"), which acts as the Merchant of Record for transactions on join.makertank.com, app.makertank.com, and related subscription and unlock flows. This means Paddle, not Makertank, is the seller of record on your receipt and statement, is responsible for calculating and collecting applicable sales tax or VAT, is your point of contact for chargebacks and card-network disputes, and holds your full payment card details; Makertank never receives or stores your full card number. Subscriptions renew automatically at the then-current price for successive billing periods matching your original term (monthly or annual) unless you cancel before the renewal date through your account settings or by contacting support@makertank.com. Cancelling stops future renewals but does not, by itself, refund amounts already charged; refund eligibility is governed by our Refund Policy, which includes a 30-day money-back guarantee on new subscription purchases. Prices are subject to change on notice as described in Section 16; changes take effect no earlier than your next renewal.
Shop.makertank.com sells physical goods, including limited-edition art prints, on a one-time purchase basis. Orders are also processed through Paddle where applicable, and shipping, delivery, and returns for physical goods are governed by our Refund Policy. Risk of loss for physical goods passes to you upon delivery to the carrier, except that we remain responsible for arranging replacement or refund of items that arrive damaged or lost in transit, as described in the Refund Policy.
6. Trials and Promotional Access
We may from time to time offer free trials, waitlist-based early access, promotional pricing, or complimentary module unlocks. Unless stated otherwise at the time of the offer, promotional access is provided on an "as is" basis, may be modified or revoked at our discretion, and does not carry the 30-day money-back guarantee described in the Refund Policy (because no payment was made). If a trial converts automatically to a paid subscription, we will make that conversion mechanic clear at the point of signup.
7. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes during the term of your subscription or authorized access. This license does not include any right to resell, sublicense, rent, lease, or provide the Service to third parties as a standalone or white-labeled offering, to reverse engineer or attempt to derive source code from any part of the Service, or to use automated means to scrape, mirror, or extract data from the Service except through documented, authorized APIs. Additional software-license terms applicable to any downloadable or embedded application component are set out in our End User License Agreement, which is incorporated into these Terms.
8. Your Content
"Your Content" means the data, documents, files, images, video and audio recordings, financial reports, business descriptions, proposal or RFP submissions, notes, and other materials that you or your authorized users upload, submit, or generate through the Service, including uploads made during the report-upload and data-mapping flow, submissions made through the VIP onboarding wizard or the /apply proposal-qualifier flow, and recordings captured through Cascade Recorder. As between you and Makertank, you retain all ownership rights in Your Content. You grant Makertank a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and create derivative works from Your Content solely as necessary to operate, maintain, secure, and improve the Service, to provide the specific outputs and analyses you request (including AI-generated blueprints, scorecards, and recommendations), to provide customer support, and to comply with law. This license ends when Your Content is deleted from the Service, except for copies retained in routine backups (which are purged on the rotation schedule described in our Privacy Policy) or as required to comply with law or resolve disputes. You represent that you have all rights necessary to grant this license, including any consents required from third parties who appear in video or audio recordings you upload through Cascade Recorder, and that Your Content does not infringe the rights of any third party.
9. Financial-Data Connections
The Service allows you to connect third-party accounting systems, currently including QuickBooks Online through Intuit's OAuth authorization flow, so that we can retrieve financial reports such as profit-and-loss statements, balance sheets, accounts-receivable and accounts-payable aging, invoices, and related summaries in order to power dashboards, benchmarking, and recommendations. This access is read-only: we do not create, edit, delete, or otherwise modify records in your connected accounting system, and we do not request or use write-level scopes for that purpose. You control the connection at all times and may revoke it from within the Service or directly from your accounting provider's account-permissions settings; revocation takes effect promptly and stops future data retrieval, though data already retrieved and stored by Makertank remains subject to our Privacy Policy and retention schedule until deleted. Authentication tokens used to maintain a financial-data connection are stored encrypted and are accessible only to the systems and processes that require them to function. Intuit Inc. and any other accounting-platform provider you connect is an independent controller of your data under its own terms of service and privacy policy, and your use of that provider's platform is governed by its agreements with you, not by these Terms.
10. AI-Assisted Features and Investor Content; No Professional Advice
The Service uses artificial-intelligence models operated by third-party providers, including Anthropic, to generate blueprints, benchmarking, recommendations, briefs, and other analytical output based on Your Content and other inputs you provide. These third-party providers process your inputs under contractual confidentiality commitments and, per our Privacy Policy, do not use your inputs to train their general-purpose models except where you separately agree otherwise. AI-generated output is provided for informational purposes only, may contain errors, omissions, or outdated information, and should not be relied upon as financial, legal, tax, accounting, or investment advice. You are solely responsible for evaluating the accuracy and suitability of any AI-generated output before acting on it, and we recommend you consult a qualified professional before making material business, financial, or legal decisions.
Content published on investors.makertank.com, including any materials describing Makertank entities, portfolio projects, or investment opportunities, is provided for general informational purposes only and does not constitute an offer to sell, or a solicitation of an offer to buy, any security in any jurisdiction. No content on the Service constitutes investment, legal, tax, or accounting advice, and nothing on investors.makertank.com should be construed as such. Any actual offering of securities by Makertank or an affiliated entity will be made, if at all, only through definitive offering documents delivered directly to qualified recipients in compliance with applicable securities laws, and will be governed by the terms of those documents rather than by this Service or these Terms.
11. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, available at app.makertank.com/legal/acceptable-use, which is incorporated into these Terms and describes prohibited conduct including illegal use, intellectual-property infringement, harassment, introduction of malware or attempts to compromise Service security, unauthorized scraping or rate abuse, submission of fraudulent or knowingly false financial or business information (including in the VIP onboarding, KYB, or /apply flows), and recording other people through Cascade Recorder without their consent. We may investigate suspected violations and take any of the actions described in Section 14.
12. Intellectual Property
The Service, including its software, user interface, design, documentation, trademarks (including "Makertank" and associated logos), and all underlying technology, is owned by Makertank or our licensors and is protected by intellectual-property laws. Except for the limited license granted in Section 7, nothing in these Terms transfers any right, title, or interest in the Service to you. If you submit ideas, suggestions, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.
13. Third-Party Services
The Service integrates with and relies on third-party providers, including Supabase (database, authentication, and storage infrastructure), Cloudflare (network and hosting infrastructure), Lovable (application hosting and deployment), Paddle (payment processing and Merchant of Record services), Resend (transactional email delivery), PostHog (product analytics), Intuit (financial-data connections, where you enable them), Anthropic and other AI model providers, and shipping carriers used to fulfill physical-goods orders from shop.makertank.com. These providers operate under their own terms and privacy practices, and while we select and monitor them for suitability, we do not control their operations and are not responsible for their acts, omissions, downtime, or policy changes. Our Privacy Policy describes how these providers process personal data on our behalf or as independent controllers.
14. Suspension and Termination
We may suspend or terminate your access to the Service, in whole or in part, if you materially breach these Terms or any incorporated policy, fail to pay amounts owed, engage in fraud or misrepresentation (including in onboarding, KYB, or /apply submissions), or if we reasonably believe your use of the Service poses a security or legal risk to Makertank or other users. Where practicable, we will provide notice of suspension or termination and an opportunity to cure a curable breach. You may terminate your account at any time through account settings or by contacting support@makertank.com. Upon termination for any reason, your right to access the Service ends, though provisions of these Terms that by their nature should survive termination — including Sections 8 through 10, and 12, 15 through 20 — will survive. We will make a reasonable data-export window of at least 30 days available following account deletion, consistent with our Privacy Policy, after which Your Content still in our systems will be deleted in accordance with our retention schedule.
15. Warranty Disclaimer
The Service and all output generated through it, including AI-generated analysis and recommendations, are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that any AI-generated or financial-analysis output will be accurate, complete, or suitable for your purposes. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
16. Limitation of Liability
To the maximum extent permitted by law, Makertank and its officers, members, employees, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to these Terms or the Service, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Service will not exceed the total fees actually paid by you to Makertank (excluding amounts collected by Paddle as tax) in the twelve months immediately preceding the event giving rise to the claim. These limitations apply regardless of the legal theory on which liability is asserted, whether in contract, tort, strict liability, or otherwise, and will apply even if a remedy fails of its essential purpose. Nothing in these Terms limits liability that cannot be limited under applicable law.
17. Indemnification
You agree to defend, indemnify, and hold harmless Makertank and its officers, members, and employees from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service in violation of these Terms or applicable law, Your Content, or your breach of any representation made in these Terms, including representations regarding the accuracy of business, financial, or identity information you submit.
18. Dispute Resolution; Governing Law; Class Action Waiver
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles. Subject to the small-claims carve-out below, you and Makertank agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state or federal courts located in King County, Washington, and each party consents to personal jurisdiction there. Either party may instead bring an individual claim in small-claims court in a jurisdiction where the small-claims court has jurisdiction over the parties, if the claim qualifies for that court.
You and Makertank each agree that any proceeding to resolve a dispute will be conducted only on an individual basis and not as a class, consolidated, or representative action, and each party waives any right to participate in a class action or class-wide arbitration. If you do not wish to be bound by this class-action waiver, you must notify us in writing at legal@makertank.com within 30 days of the date you first accepted these Terms (or, for existing users as of the effective date above, within 30 days of that effective date), stating your name, account email, and intent to opt out; timely opt-out will not affect your ability to use the Service but will preserve your right to bring or participate in a class proceeding.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or applicable law. If we make a material change, we will provide notice by posting the updated Terms at app.makertank.com/legal/terms with a revised effective date, and, where practicable, by notifying you through the Service or by email. Continued use of the Service after a material change takes effect constitutes acceptance of the revised Terms; if you do not agree to a material change, you must stop using the Service and may terminate your account as described in Section 14.
20. General
These Terms, together with the incorporated Legal Documents, constitute the entire agreement between you and Makertank regarding the Service and supersede prior agreements on the same subject. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
