Makertank End User License Agreement

Effective: July 14, 2026

This End User License Agreement ("EULA") is entered into between MKRTNK LLC, a Washington limited liability company doing business as "Makertank" ("Makertank," "we," "us," or "our"), and you, and governs your use of the software components of the Service, including any web application, dashboard, embedded widget, browser extension, or downloadable client that Makertank makes available in connection with makertank.com, beta.makertank.com, join.makertank.com, app.makertank.com (also reachable at portos.makertank.com), vip.makertank.com, admin.makertank.com, investors.makertank.com, and shop.makertank.com (collectively, the "Software"). This EULA supplements, and is incorporated into, our Terms of Service, available at app.makertank.com/legal/terms. In the event of a conflict between this EULA and the Terms of Service on a matter specifically addressed here, this EULA controls with respect to the Software; the Terms of Service otherwise govern your overall relationship with Makertank.

1. Grant of License

Subject to your compliance with this EULA and the Terms of Service, and for as long as you maintain an active account or authorized access in good standing, Makertank grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install (where applicable) and use the Software solely for your own internal business purposes. No other rights are granted, whether by implication, estoppel, or otherwise.

2. Restrictions

You may not, and may not permit or assist any third party to: (a) copy, modify, or create derivative works of the Software, except as expressly permitted through documented, authorized use of the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or data structures of the Software, except to the limited extent applicable law expressly prohibits this restriction; (c) sell, resell, rent, lease, sublicense, distribute, or otherwise make the Software available to any third party, including on a hosted, white-labeled, or service-bureau basis; (d) remove, obscure, or alter any proprietary notices on or within the Software; (e) use automated means, including bots, scrapers, or crawlers, to access, extract, or index data from the Software except through documented, authorized APIs and subject to any rate limits we impose; (f) use the Software to build a product or service that is competitive with the Service; or (g) circumvent or attempt to circumvent any access controls, role-based permissions, or feature gates within the Software. Additional prohibited conduct applicable to your broader use of the Service is described in our Acceptable Use Policy.

3. Updates

We may develop and deliver updates, patches, and new versions of the Software from time to time, and we may deliver them automatically as part of the Service. We are not obligated to maintain backward compatibility with prior versions, though we will use reasonable efforts to communicate material changes that affect your workflows, consistent with Section 4 of our Terms of Service.

4. Ownership

The Software, including all intellectual-property rights in it, is and remains the exclusive property of Makertank and our licensors. This EULA does not transfer any ownership interest in the Software to you. All rights not expressly granted in this EULA are reserved by Makertank.

5. Third-Party Components

The Software may include or interoperate with third-party components and services, including those identified in our Terms of Service and Privacy Policy (for example, Supabase, Cloudflare, Paddle, and AI model providers). Your use of those components is subject to any additional terms that accompany them, and Makertank is not responsible for third-party components except as described in our Terms of Service.

6. Termination

This EULA and the license granted under it terminate automatically if your account is terminated or suspended under the Terms of Service, or if you breach this EULA and fail to cure the breach within a reasonable period after notice, where curable. Upon termination, you must stop using the Software, and any provisions of this EULA that by their nature should survive (including Sections 2, 4, and 7) will survive termination.

7. Relationship to the Terms of Service

This EULA is part of, and incorporated into, our Terms of Service. Definitions, warranty disclaimers, limitation of liability, indemnification, governing law, dispute-resolution provisions, and general terms set out in the Terms of Service apply equally to this EULA and to your use of the Software, and are not restated here.
